I t is truly an honor and a privilege to be the President of the Shore Builders Association of Central New Jersey. For the past four years I have served as the Treasurer and First Vice President, and I feel prepared and excited about this new role. Allow me to introduce myself and provide some background as to why this position is so special to me, as well as some of my goals I plan to focus on during my presidency. My name is Michael J Kokes, and building is in my blood. My family has been in the building industry since 1964 and I am told that my Grandfather joined the association around 1967. That would make our family’s continuous membership at 50 years long. From a building perspective, we have predominantly focused on central New Jersey, and in total we have built over 20,000 homes in this area. We were pioneers in the Active Adult sector, and were a public company in the late 80s. We have been through numerous recessions and have continually reinvented ourselves when the economy changed. Most recently we divested numerous assets and for the past few years have worked on reinventing ourselves again to adapt to the ever-changing market.

Our experiences have shown that the building industry in New Jersey is always changing, and now more than ever, we need to identify what the needs of the market are and support them. We need to continue to define what the true purpose of the association is so that we remain relevant in the industry. Ultimately, we need to demonstrate the value our association brings to the communities we serve that can’t be found elsewhere. As President, while I will focus on many different aspects of the association, my primary focus will be membership. Our association’s strength is in our membership. I don’t believe that there is a simple solution or “magic plan” to grow and retain membership, but rather a focus on the various “things” that achieve that goal. We identify the benefits of membership through conversations about the needs of our members. It has been my experience that it is not only important to grow membership, but it is equally important to guide our new members in making the association work for them in order ensure retention. Engagement, relevancy, and value, are some of these keys to improving membership renewals year after year. The Officers and I would like to expand our use of the existing Shore Builders website, as well as our social media platforms to grow our association’s exposure in the industry. We would like to continue our outreach efforts to the general public and the communities we serve to provide an understanding of Shore Builders Association as a resource.

We would like to grow our mentoring efforts with schools and organizations to attract future building industry leaders. While new to our association, this effort has gained much traction and I look forward to working with our committees to expand our reach. I have been inspired to see in my past four years as an officer, some of the creative ideas that our members come up with for improving events, providing seminars, and forming new committees. Procuring a great idea is one thing, but seeing those members work tirelessly to have those ideas come to life is truly amazingand I look forward to seeing more of that in the next two years. If we haven’t met already, I’ll look forward to meeting you at an upcoming event. I look forward to continuing to create and build lasting relationships within the association. It is a great honor to be the President of Shore Builders Association of Central New Jersey.

Successes Our biggest successes happened organically- some out of economic need and others as rising voices needed to be heard. The Young Professionals started as an informal, impromptu gathering. What it morphed into is now a strong voice at both Shore and NJBA. The YPs (and they are not just millennials) have shown the “Rusty Guns” that you don’t have to be so structured to get things done. Their impact at Shore has resonated at the other locals and now there is an YP group at each local and a statewide council at NJBA. They deserve to be listened to, as they are the future of the homebuilding association. The Professional Women in Building of the Garden State Council came out of the gate with a roar! This not-for-women-only council hit the ground running by becoming the de-facto charitable arm for Shore. We collected dozens of cartons of school supplies for United Way Tools for School, supplied the MCSPCA Pet Pantry and turned out for the HOPE Walk this past September. We won national awards for our efforts during our first year in existence. PWB has become a force to be reckoned at Shore with and I see its strength only increasing across the state. One of the biggest changes is how Shore members network. We’ve gone from sit down dinners with speaker after speaker to more informal settings at a sponsor’s showroom. Not only does the sponsor have the opportunity to show off his showroom,

but the lower cost per ticket has resulted in higher attendance. What would could be more conducive to talking about business than a cocktail and hors d’oeuvre standing over the latest model toilet! Where do you see the association in the future? I think we were all a little surprised and maybe caught off guard after Superstorm Sandy when many homeowners called Shore looking for a reference to help them repair or rebuild their home. I envision Shore as that go-to-place for community outreach when a homeowner needs a tradesman or for someone just starting their home search and needing some guidance. I see the association becoming less structured as the younger and newer members change and mold the association to what they need it to be. The “basic bones” will be there but will be flexible to meet the needs of the membership as time change and the way we do business changes. One of the criticisms of the HBA is that things are done the “same old way” I think that in order for the association to grow and change, is for the leadership to really listen to what the membership has to say. While their needs change, so should the organization. Listen to what the millennials have to say but stay true to the base that built the organization. What will be the driving force moving forward

m I the only one that feels like 2017 was a blur? Here we are, starting off the new year and I’m still wondering what happened to summer! One thing I know for sure about 2018, Shore Builders Association is looking forward to even more of the best of our accomplishments from last year. With many of our favorite events like the FAME Awards and our BBQ on the Beach in the queue for this year, we are working on a few new programs and events that are sure to be new favorites. Here is my look ahead for 2018. At our annual breakfast meeting on Wednesday, January 31st Stephen Melman, Director, Economic Services of NAHB, will provide us with a recap of the past year and present us with the economic forecast for 2018 at the Jumping Brook Country Club. If you are interested in learning more about what the year may hold for our industry, this is a must-attend event. Registration is now available for the Economic Forecast meeting. The Annual FAME Awards will be held on Thursday, March 8th where the best and the brightest in sales & marketing will be honored. This is one of the biggest networking events of the year, so be sure to keep an eye out for registration to attend this fun and exciting night.

Every April members gather in Atlantic City for the Atlantic Builders Convention. In addition to the convention floor, there are multiple events and educational opportunities for anyone in the building industry. Be sure to check the website and book your convention room and secure your convention tickets. work. Committee members work together to ensure the longevity of the industry. Some of our committees plan the events, others work on legislative and legal issues. From Young Professionals to Professional Women in Building, there is a committee for every interest, click here to view a complete list of committees. If you have not joined and worked on a committee, I urge you to get involved this year. Members who work on committees form better, long lasting relationships with other members, do business with more members, and have more successful association memberships. I’m really excited to kick off 2018, and we are ready to hit the ground running to provide the best association experience for our members. Happy New Year! According to Identity Force, there were 41 data breaches in 2017 alone, which affected millions of consumers and put their information at risk for potential identity theft. It was reported that 143 million consumers were affected due to sensitive data being stolen, such as names, addresses and dates of birth, social security numbers, and driver’s license numbers. Another data breach was revealed in November 2017, when Uber discovered they were hacked in late 2016. It was reported that 57 million Uber users and drivers were affected due to the hackers downloading names, email addresses and phone numbers of Uber users. Uber decided to pay the hackers $100,000 to keep data breach a secret, rather than notifying those consumers affected. If it is your first time checking, go back at least 12 month and review each transaction to ensure you are not missing anything. If you recognize something that does not look familiar, contact that company right away to dispute the charge. 4. Review your credit report. See if there are any accounts that you didn’t apply for that are opened in your name. Also, review any inquiries that you did not authorize and even names & addresses that do not belong to you. Contact the credit bureaus immediately if you see something that does not right. 5. Enroll in credit monitoring that provides all three credit bureaus on a monthly basis. You want to get alerts and notifications of anything that happens on your credit report. If you only check your credit report once a year, you might not be able to catch something as soon as if happens.

MARIJUANA LEGALIZATION Brings NewWorkplace Challenges

Home builders and other employers have new cause for concern: the legalization and increased use of marijuana. The laws governing use of marijuana vary by state, and many have implemented laws and regulations that protect current or prospective employees against discrimination based on the worker's use of marijuana. To help builders address this issue, NAHB has created "A Builder's Guide: Marijuana in the Workplace," which examines items related to the legalization of marijuana and includes a compilation of state laws as well as tips for creating workplace policies.

If you're logged into nahb.org, the guidebook can be found in the "Trending Now" section of the Construction Liability Resources on NAHB's website. The guide examines pertinent issues related to the legalization of marijuana, and includes a compilation of state laws and tips for creating workplace policies.

This committee promotes professionalism in sales and marketing and further educates the members on the latest ideas available to Builder and Associate members. This committee also plans the Annual FAME (Fabulous Achievement in Marketing Excellence) Awards Banquet. The committee keeps industry views before the public and creates a better public image of the Association and the role it plays in the community.

INTRAFAMILIAL PROPERTY TRANSFERS / INNOCENT PARTY GRANTS Cedar Knolls 2006, LLC v. NJDEP

U.S. Home transferred responsibility for the common areas and management of the community to the Association. Individual members of the Association were bound to arbitration clauses included in purchase agreements. Various claims were made by the Association including claims asserted on behalf of individual members. The developer moved to compel arbitration under the purchase agreements and related documents. Questions arose as to whether claims alleging violations of the Planned Real Estate Development Full Disclosure Act (PREDFDA) and of the developer’s fiduciary duties were asserted on the behalf of individual members of the Association or on behalf of the Association, which argued it was not subject to arbitration agreement. The Court remanded to the trial court to allow the Association to file an amended complaint to clarify which claims were direct Association claims and which were brought on behalf of individual homeowners. In the underlying pleadings, all asserted claims were brought on behalf of the Association and its members, creating confusion. The Court remanded to allow the Association to separate out the asserted claims. While arbitration is a favored form of relief, it “should not be compelled when it cannot be shown the Plaintiff consented to arbitrate.” With remand, the Court temporarily set aside the order compelling arbitration of the PREDFA and fiduciary duty claims. The decision appears to be fact specific in that, assuming the remand results in a determination that the PREDFA and fiduciary duty claims were direct Association claims, the underlying Association documents apparently did not include arbitration provisions binding on the Association. Arguably, the court’s holding should not extend to associations where applicable governing documents contain express arbitration provisions applicable to association claims.

The property in question was acquired in 1977 by Robert Higginson and then was transferred several times after 1983 from parents to children, including transfers via trusts. Ownership of the property ultimately was established in Cedar Knolls 2006, an entity created by Higginson’s son. DEP denied the LLC’s application for innocent party grant funding for remediation of the property. The Appellate Division reversed the denial interpreting the legislative history of both the Brownfield Act and ISRA in favor of the applicant. Interfamilial transfers of property constitute an exception to a “change in ownership” that would otherwise trigger ISRA with respect to an industrial use and are exempt from ISRA compliance. The court construed the statutes together finding that ISRA and the Brownfield Act are part of a unified legislative strategy for remediation of contaminated sites. The court was not dissuaded by the fact that the “change in ownership” definition under ISRA is not expressly part of the Brownfield Act. “Innocent party grants were clearly intended to help the owners of a contaminated property defray the costs of remediation if they were not responsible for the contamination and had acquired the property prior to enactment of [ISRA], assuming they satisfied the other requirements.” The legislature was concerned with the substance and continuity of ownership rather than with technicalities of the legal form and concluded DEP improperly denied the grant request.

The cost to remediate contaminated sites can be significant and the scope of liability under environmental laws is deliberately broad. In many cases under theories of strict, joint and several liability, property owners inherit liability for environmental contamination caused by predecessor owners. The affirmative innocent purchaser defense is intended to provide a mechanism to limit such liability exposure. However, under New Jersey law, innocent purchasers must complete all appropriate inquiry prior to property acquisition and complete remediation of known contamination to limit liability exposure with respect to later discovered environmental conditions. State funding may be an option in some cases to assist innocent parties in completion of remediation. The Hazardous Discharge Site Remediation Fund Innocent Party Grant is available to persons who acquire property prior to December 31, 1983, who continue to own that property until grant monies are released to them, and who did not cause the environmental condition or use the types of substances that require remediation. Cedar Knolls 2006, LLC v. NJDEP addressed the question of whether interfamilial transfers occurring after 1983 negate the ability to qualify for innocent party grant funding for remediation. The Appellate Division held that the transfer of property among family members prior to distribution of the grant monies and after 1983 did not negate the ability of the applicant to qualify as an innocent party for purposes of an innocent party grant.

map.” Further, the Commission found that the invalidation of the rezoning placed the municipality out of compliance with the CMP and the Township should have either passed another ordinance, or in the alternative, applied to the Commission for certification of the prior ordinance. Accordingly, the Commission held that the approval was properly “called up”. On appeal, the Appellate Division reaffirmed the legal precedent that “the Act and the regulations promulgated under it supersede the MLUL.” In doing so, the court found that “the ordinance was not in compliance with the CMP, and the CMP trumps the ordinance.” The decision succinctly summarizes the authority of the Commission related to the local approval process. Those developing in the Pinelands should be familiar with Pinelands review procedures to avoid project delays. ARBITRATION OF ASSOCIATION CLAIMS Greenbriar Oceanaire Community Association v. U.S. Home Corp. In a decision approved for publication, the Appellate Division addressed arbitration of direct homeowners association claims as compared to claims of the association made on behalf of individual homeowners. The court held that arbitration applied to claims brought on behalf of individual homeowners but not to direct claims of the association.

In a recent unpublished decision, the Appellate Division reaffirmed that the Pinelands Protection Act (Act), as well as any associated regulations, supersede the authority of municipalities under the Municipal Land Use Law (MLUL). Specifically, the Comprehensive Management Plan (CMP) adopted by The Pinelands Commission (Commission) supersedes a land use approval issued by a municipal planning board. The Commission recommended that certain property in Jackson Township be rezoned from Rural Development (RD) to Forest Area (FA), which rezoning was subsequently adopted in 2005. The Township’s rezoning was challenged and the trial court invalidated the rezoning for lack of proper procedure. In 2012, petitioner obtained preliminary site plan approval for a resource extraction facility from the Township’s Planning Board, which assumed the property was still zoned RD based on the court invalidation of the rezoning. Resource extraction was a permitted conditional use in the RD zone, but not permitted within the FA zone. The Commission “called up” the approval for review. After a hearing before an Administrative Law Judge (ALJ), the Commission adopted the ALJ’s decision, which held that the trial court’s invalidation of the municipal rezoning “did not change the designation of the subject property from RD to FA on the CMP’s land capability

It is not uncommon for environmental issues to go undiscovered for extended periods in the context of long-held, family owned properties. Transfers are more likely to occur among family members without the typical level of due diligence completed by an outside purchaser. Discovery of preexisting environmental conditions can result in time consuming, difficult and expensive remediation. The potential availability of innocent party funds notwithstanding interfamilial transfers may prove to be extremely beneficial. It is also likely that attempts will be made to extend the application of this decision outside of the context of interfamilial property transfers. Certain corporate transfers and reorganizations are not considered to be a transfer of ownership or operations under ISRA, and interested parties should follow whether DEP and/or the courts apply the same legislative interpretation in different factual scenarios.
