It’s time to make the transition from summer into fall. I’m hoping that even with the increased activity we are all experiencing in our industry, that you had some time to spend enjoying our beautiful New Jersey shore weather and activities at some point these past few months. Now that fall is here and we’re back to business (did we ever stop???) it’s important to reinforce the necessity of lobbying on behalf of our industry during these times of uncertainty so that we can make certain our industry can continue building homes for people in New Jersey. Through our local PAC and the NJBA BPAC, lobbying local municipalities as well as state government in Trenton has been a crucial part of the Association’s function, particularly during the past eighteen months, to keep our industry operating. Our companies have relied on this representation to keep building, even during the pandemic. No matter what is happening in our businesses, it is imperative that we keep supporting the Association to ensure our interests are at the forefront of legislation, locally, statewide, and at the national level. There are many other ways the value of the Association can be a powerful tool to keep your business growing. One of the most

important benefits of being a member are the relationships we build and depend on during good and challenging times. For instance, these relationships help ensure our supply houses can provide the building materials when we need them. Through close communication with suppliers and having that personal relationship to rely on, our expectations can be reestablished, helping to improve our situation with supplies. That is just one example of how building close relationships with other Association members have helped our companies prepare and plan for these types of issues that were unforeseeable prior to the pandemic. Working through supply chain issues would not have been possible without the Association. Connecting with other members, building strong relationships that mutually benefit Builder and Associate difference, and will continue to in the coming years. As SBACNJ’s President, I would like to thank our Associate members during Associate Appreciation Month this September, especially our Associate Sponsors, who make all of what we do possible. members, and having a support system through SBACNJ has made a world of

Although the climate of doing business is currently uncertain, SBACNJ is still preparing our office to accept visitors in the near future. Getting back to some in-person committee meetings using our technology tools by creating a hybrid of in-person and virtual meetings for the near future is on the horizon for our Association. We are looking forward to seeing everyone at the Atlantic Builders Convention in Atlantic City October 11th through the 13th, as well as later this year at our Installation and Holiday Party on December 8th. DEVELOPMENT IMPACT FEES / JUDICIAL DEFERENCE

On appeal, Defendants argued that the trial court failed to give proper deference to the Planning Board by substituting its own judgment for the Board’s with respect to the necessary traffic plan and lack of a wetlands letter of interpretation (“LOI”). The appellate court disagreed and determined that the Planning Board’s decision was not entitled to any deference because its action was “clearly arbitrary, capricious, and unreasonable.” The court explained that there must be a “causal nexus” between off-site public facilities and a private development, and a “developer may not be saddled with a disproportionate share of the cost of the improvement.” The court found that the traffic plan demanded by the Planning Board required Plaintiff to pay for road improvements beyond the traffic increase related to Plaintiff’s complex’s construction. In addition, the parties’ settlement agreement provided that Plaintiff was responsible only for two new traffic signals along with the necessary paving and road striping, and therefore, the Board’s denial violated the parties’ settlement agreement. The court also found that the Planning Board’s decision to deny Plaintiff’s application on the ground of an expired and invalid wetlands LOI were “materially inaccurate” and lacked “sufficient evidential support.” This case reaffirms that although courts provide deference to a planning board’s decision, it is not without limits. A planning board’s decision must be reasonable and supported by credible evidence, and must also be consistent with other agreements which may exist.

In re Township of East Brunswick

Bulletin Board | 7 | www.shorebuilders.org a consolidated trial, the court reversed the Board’s decision. The court found that the Board continually requested additional road improvements that were not necessitated by the development and made findings of fact about a wetland that were materially inaccurate, and the denial violated the terms of the parties’ settlement agreement. Defendants appealed, and the Appellate Division affirmed. This action arose from the Township of East Brunswick’s declaratory judgment action for substantive certification of its affordable housing plan. Plaintiff Hidden Oak Woods, LLC intervened in the action and later entered into a settlement agreement with the Township with respect to the proposed development of Plaintiff’s property. The court approved the settlement agreement, the Township adopted its third-round Housing Element and Fair Share Plan, and the court entered a Final Judgment of Compliance and Repose declaring that the Township had complied with its fair share housing obligation. Plaintiff subsequently filed an application with the Township’s Planning Board for preliminary and final site plan approval. The Board denied Plaintiff’s application. Plaintiff filed a complaint in lieu of prerogative writs against Defendants Township and Planning Board seeking a declaratory judgment reversing the Board’s decision and also filed a motion to enforce litigant’s rights with respect to the settlement agreement. DEP RELEASES GUIDANCE ON REMEDIATION CASES INVOLVING CONTAMINANTS OF EMERGING CONCERN DEP’s Site Remediation and Waste Management Program recently published guidance addressing certain practical concerns regarding the timely completion of remediation cases involving contaminants of emerging concern (“CEC”), including PFOA and PFAS contaminants. DEP’s Site Remediation Program requires completion of remediation within specific timeframes. For ISRA cases, timely remediation must be completed for the “entire site” addressing all areas of concern. The ability to complete newly regulated CEC remediation within applicable timeframes in the context of sites already undergoing remediation and subject to applicable previously running timeframes has been a challenge. The guidance, available at https://www.nj.gov/dep/srp/ guidance/#contaminants_ec , provides needed regulatory flexibility. Under circumstances where the responsible party and involved LSRP had no basis to know or reason to believe CEC required remediation at the site prior to discovery, the responsible party has the option to addressed the CEC under a new, separate remediation case. In doing so, the new case will be subject to its own distinct timeframes, separate from the timeframes applicable to the previously existing case. For existing ISRA cases that require remediation of the “entire site”, the ISRA case will remain open and a Response Action Outcome for the entire site will be deferred until the CEC remediation is completed. This policy provides timeframe relief for remediating parties and an additional compliance option, as an alternative to making an application for a timeframe extensions, in those situations where more time is needed to complete remediation than is otherwise allowed under deadlines applicable to pre-existing remediation cases.

The decision also reaffirms the limits on developer responsibility for impact fees. TIME TO APPEAL – PRESERVING RIGHTS

45 days “after the accrual of the right to the review, hearing or relief claimed” as required under New Jersey Court Rule 4:69-6(a). This case reaffirms the importance of the procedural requirements to challenge the decisions of a municipal body with respect to land use matters. Bill No. S.3223 regarding electric vehicle charging stations was signed into law July 9, 2021 (P.L. 2021 c.171). For residential development, the bill mandates applications for developments with 5 or more units to include 15% of required parking as “make ready” for electrical vehicle charging. The 15% make ready spaces are to be phased in over 6 years, with one third of those immediately equipped with electric vehicle charging equipment. Applicable parking requirements would be reduced, up to a 10% reduction, with each make ready space counting as two regular parking spaces. The number of make ready parking spaces required at developments having a parking lot or garage vary depending on the amount of off-street parking supplied. The law requires the Department of Community Affairs to adopt a model ordinance to be effective statewide, and the model ordinance was released September 1, 2021. Municipalities may adopt replacement ordinances addressing issues such as setbacks but may not exceed the applicable set aside requirements. The law is not applicable to development of one single family home or retail use having 25 or fewer parking spaces. Electric vehicle supply equipment and make ready parking spaces are treated as permitted accessory uses and structures in all zoning districts and do not require a variance, and applications shall be approved through issuance of a zoning permit. The law took immediate effect. Developers should carefully consider evaluate the requirements of this new law with their professional consultants. ELECTRICVEHICLE CHARGING STATION LAW

Squicciarini v. Borough of Closter

Plaintiff Mauro Squicciarini was the owner of property located in the Borough of Closter. Plaintiff applied for a building permit to construct a single-family residential dwelling on the property. The Borough’s Zoning Officer denied Plaintiff the permit on numerous grounds, including the failure to meet bulk requirements. Plaintiff did not appeal the Zoning Officer’s decision to the Borough’s Zoning Board of Adjustment, instead, Plaintiff applied to the Zoning Board for substantial bulk variance relief to construct the dwelling. After conducting hearings over multiple days, the Board denied the application. Plaintiff did not appeal the Board’s denial of his application. Ten months after the denial, Plaintiff filed a complaint in lieu of prerogative writs against Defendants the Borough, County, and an adjacent property owner who objected to his application. Plaintiff challenged the denial and sought a judgment declaring that he had the right to construct a residential dwelling on the property. The trial court granted the Defendants’ motions for summary judgment, and denied Plaintiff’s motion. The trial court found that, amongst other things, Plaintiff’s action was time-barred. Plaintiff appealed to the Appellate Division, which affirmed the trial court’s decision on the motions. The appellate court found that Plaintiff failed to appeal the zoning officer’s decision denying him the issuance of a building permit to the Zoning Board within 20 days, as required by N.J.S.A. 40:55D-72(a), and he could not circumvent his failure by instead seeking relief through an action in lieu of prerogative writs. The court also found that Plaintiff’s prerogative writ action was time- barred because he failed to file same within

Committees are a vital functional of our Association. Make your membership more meaningful by getting involved. Become an active member of a committee! Committees general meet one hour, once a month

❑ ASSOCIATE MEMBERS, MEMBERSHIP SERVICES AND PROGRAMS: This committee works for the betterment and benefit of the SBACNJ membership. This committee is responsible for the BEAM (Builders Employing Associate Members) Award as well as the Associate of the Quarter nominations. This commit tee recruits new members, screens prospective applicants and works to retain current members. ❑ GOLF CLASSIC: This committee meets 6 times per year, beginning in February, to plan the SBACNJ Annual Golf Outing. As a committee member it is important to be available the day of the outing to work as an event volunteer. ❑ LEGAL/LEGISLATIVE & ENVIRONMENTAL: This committee interfaces with local and state municipalities to maintain good relations, provide exchange information flow, and oppose adverse government regulations on the building industry in Monmouth, Ocean, Middlesex and Mercer Counties. The committee considers challenging ordinances, practices, and policies of municipalities which are harmful to SBACNJ members. ❑ SALES & MARKETING: This committee promotes professionalism in sales and marketing and further educates the members on the latest ideas available to Builder and Associate members. This committee also plans the Annual FAME (Fabulous Achievement in Marketing Excellence) Awards Banquet. KOKES PROPERTIES

Kokes Properties (“Kokes”) is a vertically integrated real estate development firm founded by Michael J. Kokes, a third- generation real estate developer. Kokes’ primary business is focused on developing multifamily and self-storage assets for its own portfolio while concurrently supplementing its real estate holdings through non-core investments that generate strong and stable yields. Kokes employs a full team working across four departments: Acquisition & Entitlements; Development & Construction; Property Management; and, Finance & Accounting. Although each department is individualized in nature, what sets Kokes apart from other real estate companies is its industry knowledge, versatility, and network. All members of the Kokes team bring prior development experience and a nuanced understanding

Kokes also served as a strategic financial partner in a nearby Winslow community known as The Enclave, which of their roles to the firm. For example, Kokes’ development team is headed by Matt Stephens, a former Senior Project Manager with Toll Brothers whose strengths include project management, customer relations, and marketing oversight. Matt has spearheaded the buildout of Kokes’ in-house property management division and plays a leading role in promoting the company’s brand through various advertising initiatives. Since 2018, Matt has served on the Board of Directors of the Shore Builders Association.

In June of this year, Kokes acquired a single- tenant net lease (STNL) property in Wall Township. Although STNLs are non-core assets for Kokes, the property’s location, design, construction, and tenant, made it an attractive asset for the portfolio. Securing approvals for unentitled land is another competitive advantage that the company has relative to its peer group. As President, Michael J. Kokes is primarily responsible for guiding the firm’s vision with respect to all matters pertaining to site selection, project planning, and entitlement procurement. In June 2020, Mike received amended preliminary and final approval to develop a 190-unit multifamily community in Riverside Township, New Jersey. In March

2021, with the help of in-house engineer Paul Kavka, Mike also secured approvals for a 45,000 square foot self-storage facility in Whiting, New Jersey. Kokes currently has three projects in its pipeline. The Riverside project (at right) broke ground in December and is well underway. The first 22 units are expected to be ready for occupancy by year-end, and the first phase is expected to be fully developed by early 2023.

In January, Kokes also began developing the second phase of its Eden & Main community – a 50,000 square foot, 41-unit apartment building – in Southington, Connecticut. The roof of the building is currently being sheathed, and the elevator is about to be installed. Since its inception in 2015, the mission of Kokes Properties has been to fulfill the Kokes family legacy of developing sustainable projects,

maintaining long-lasting relationships with vendors and customers, and being responsible corporate citizens within the communities in which it builds. I t is risky business to forecast the future— and yet riskier not to look forward. Trends and current events are strong indicators of subjects we should be ready to address in the construction industry. The business world changes quickly and those best prepared are able to adapt with fewer interruptions. We are all smarter after COVID-19. We reexamined our core essentials, ushering in policies, procedures and practices to work through the challenges presented. As we enter the fourth quarter of 2021, here are five important topics to generate future- focused discussions in management teams. A National Infrastructure Spending Plan Both political sides of our country favor it, but many details, as of this writing, are far from concrete. The general acceptance, however, is a strong indicator that a bill will be enacted. While it may take some time to materialize, planning should start today. Just how well positioned is your company to expand its operational footprint? Is your company’s strength being flexed to capitalize on new business growth? From the accounting perspective, we always emphasize to management the importance of a strong balance sheet before taking on new business ventures.

Examine critical areas like receivables, equipment, lines of credit (LOC) and long- term debt. Expansion is almost always fueled by cash flow. Have we reviewed our collection efforts and ensured our credit terms are appropriate for a customer’s size, profitability and payment history? An evaluation of our equipment will identify capital needs to be addressed. We want to see a downward trend in repair costs and assurance that the equipment is sufficient for the project’s requirements. LOCs provide liquidity to counter-balance swings in cash availability. Be sure that any LOC’s terms are extended and previous borrowings reduced to provide management with the greatest flexibility in meeting operational costs. If our review of fixed assets identifies the need to purchase, then our debt- to-equity ratio becomes vital to support new funding of assets. Management may need to consider refinancing or combining loans for more favorable rates and terms. Tax Reform A number of potential tax rate changes will increase the cost of doing business. It’s almost an inescapable fact. Issued in April 2021, President Biden’s proposal, The Made in America Tax Plan, outlines a number of significant changes. The proposal includes increases to the corporate tax rate from 21%

to 28% and eliminating capital gain tax treatment for taxpayers who exceed certain income levels. Estate and inherent taxes will see major reductions of exemptions, requiring major attention to your will and estate plans. For example, in 2021, up to $11.7 million dollars of estate assets are exempt. A likely cut to pre–Tax Cuts and Jobs Act levels would reduce that exemption to $5 million (maybe even as low as $3.5 million). A host of new concepts for promoting energy efficient fuels, ending the ability to shift profits to offshore business operations and leveling the playing field between U.S. companies and foreign competitors, are also identified. A more interesting aspect contained in the proposal is the investment in the Internal Revenue Service, which would allow the agency to hire more tax examiners, implement new technology, and execute expanded audit engagements to reduce fraud and increase enforcement operations. The tax code has become a very complex subject and the service center admits that its agents struggle to keep up. Dollars will be provided to increase training, recruitment and retention of its own talent. Labor and Materials Labor has been a critical element in short supply for the industry regardless of COVID- 19’s impact. Layered on top of increasing wage rates was the extra incentive provided by the CARES Act for unemployment benefits. Adding a federal component to the state’s unemployment insurance caused many workers to delay their search for new employment. These additional supplemental funds can debatably be argued as a hindrance to restarting the U.S. economy rather than a way to keep it from stalling. Builders must continue to grow the workforce by demonstrating their commitment to it. That commitment can be a combination of many factors. Buzzwords like quality of life, job satisfaction, growth and mobility are areas that must be factored into a successful company culture.

Sometimes, the construction industry faces unexpected price increases or material shortages. It gets really ugly when both occur with little warning and we see dramatic spikes in relatively short periods, with volatility measured by days rather than months or quarters. The pandemic unleashed supply and material challenges in a very unprecedented timeline. Builders must look to add pricing escalation clauses in contracts when they are absent, ensure estimators and project managers clearly communicate, and document with suppliers to avoid unfavorable cost fluctuations when a project is bid. Project review and monitoring will be key to ensure that these short-term pricing bubbles do not impact bottom line results. Technology Who knew how vital a videoconferencing subscription would become? We all found out in March 2020 when COVID shut us down. Operations scrambled to find ways to communicate and maintain order. Understanding the mute button was almost as important as the subject of the meeting. Technology provided a significant amount of assistance in moving through our lockdown and is an area we should continue to embrace. Collaborative software expanded its footprint beyond the field, to the office, and now to dozens of remote work sites for project management and administration. The ability for a company’s entire operating structure to be supplied with real-time results was a big key in negotiating the decentralization of operations. Evaluating the effectiveness of your company’s software is just as important as reviewing the results of a job during close out. Post lock-down managers should look to identify weaknesses or lags in the reporting system and identify remedies. Software costs have always been viewed as an overhead expense, but lockdown demonstrated how important they are.

Worker safety and personal protective equipment (PPE) will see new emphasis and upgrades. Wearable tech measuring a worker’s biometrics, like temperature and heart rate, is readily available. Companies have seen results in terms of safety metrics with lowering of reportable health claims and incidents, which can lead to lower premiums in health costs and a reduction of lost time by employees. We have management employees who serve in highly technical and specialty areas. Add the title, “drone pilot,” to that list. Using this remote tool to gain a visual view of a project when an in-person inspection becomes limited or time-consuming is a great alternative. Video or still images captured as a job progresses will allow management to measure productivity, identify safety concerns and create teaching moments for the next job site. The Pandemic Effect The impact of the pandemic can not be exaggerated. No business and no person have been left unimpacted. How we conduct business and how our employees work will change. The establishment of a remote workforce will require an evaluation by management for the need and amount of office space currently maintained. Many workers thrived in the remote environment and management should balance and maybe modify its historical view of job responsibilities as well as internal measurement of an employee’s value with these new parameters. Flex hours are also an item for consideration as those working from home successfully managed their job responsibilities with their own family duties. Consider how an employee’s time is consumed in a day. Even a modest commute of 20 minutes from home to work means 40 minutes per day of consumption. We allow employees 30 or 60 minutes for a lunch break. Do we think that they really needed that full time allotment while working from home?

Future Market Continued Accumulate these minutes across a workday, a week, a month and a fiscal quarter—then monetize them and the results should be a bonus to the production capability of your construction company. If you believe that the last 18 months have been rough on your businesses performance, dissect exactly how they impacted your results. If you are still standing, that means you have done many tasks well. If you are a little bruised and battered, you now have an opportunity to improve. Do not chalk up the financial results as a loss to COVID-19, but rather, take a deep dive into them and understand how certain factors changed your results. Be specific in identifying them inside a project. Exactly which area was delayed? Was it a delivery issue or a staffing issue? Identify the root cause. This will allow you to then develop a plan to combat it in the future.

What changes can be made so that your company grows? Even from losses, good management can produce a future benefit that will in turn produce a positive impact. Solicit ideas and best practices from key employees so that a new playbook is available for your company. Good businesses adapt; great businesses grow and thrive when faced with adversity. Create a work environment that rises to the challenge.
